Trucker Terms of Service

1.Introduction.

Welcome to Lynphopro ('Company", “Lynphopro,” “we,” “our,” or “us”).
These Trucker Terms of Service (“Terms”) govern your access to and use of the Lynphopro platform, applications, software, websites, and related services (collectively, the “Platform”) as an independent Trucker (“Trucker,” “you,” or “your”).

Lynphopro operates a peer-to-peer (“P2P”) logistics technology marketplace that connects customers, merchants, businesses, and independent Truckers for instant, same-day, and scheduled delivery services.

By registering for, accessing, or using the Platform as a Trucker, you agree to be legally bound by these Terms, our Privacy Policy, Community Guidelines, and any supplemental policies incorporated herein by reference.

If you do not agree to these Terms, you may not access or use the Platform.

2.Definitions

For purposes of these Terms:

 ✓ “Account” means your registered Lynphopro account.
 ✓ “Customer” means any individual or business requesting delivery services through the Platform.
 ✓ “Delivery” means the pickup, transportation, handling, and delivery of goods.
 ✓ “Delivery Opportunity” means a request made available through the Platform.
 ✓ “Trucker” means an independent contractor using the Platform to perform delivery services.
 ✓ “Merchant” means a retailer, restaurant, business, or vendor utilizing the Platform.
 ✓ “Platform” means Lynphopro’s apps, systems, technology, APIs, software, websites, and support systems.
 ✓ “Prohibited Items” means any goods prohibited by law or by Lynphopro policy.
 ✓ “Services” means logistics, transportation coordination, delivery matching, and related technology services.

3.Eligibility Requirements

To become and remain a Trucker on the Platform, you must:
  1.  Be at least 18 years of age.
  2.  Possess legal authorization to work in the applicable jurisdiction.
  3.  Maintain a valid government-issued identification.
  4.  Maintain a valid driver’s license if operating a motor vehicle.
  5.  Maintain active vehicle registration and insurance where required.
  6.  Pass background checks and identity verification as permitted by law.
  7.  Maintain a smartphone capable of operating the Lynphopro application.
  8.  Maintain any required licenses, permits, or certifications.
  9.  Maintain accurate and current account information.
  10.  Agree to comply with all applicable laws and regulations.
  11.  Successfully complete any onboarding, screening, identity verification, or background checks required by Lynphopro

  Lynphopro reserves the right to deny, suspend, deactivate, or terminate access to the Platform at its sole discretion, subject to applicable law.

4.Independent Contractor Relationship

Independent Contractor Status
You acknowledge and agree that:

 ✓ You are an independent contractor and not an employee, agent, joint venturer, franchisee, or partner of Lynphopro.
 ✓ Lynphopro does not control the manner or means by which you perform deliveries.
 ✓ You retain discretion regarding when, where, and whether to accept delivery opportunities.
 ✓ You are free to perform services for other businesses, including competitors.
 ✓ You are responsible for your own taxes, insurance, expenses, and business operations.
Taxes
You are solely responsible for:

 ✓ Reporting all income earned through the Platform;
 ✓ Paying federal, state, local, and other applicable taxes;
 ✓ Maintaining any required business registrations;
 ✓ Paying self-employment taxes.

Lynphopro may issue tax reporting documents where legally required.

5.Account Registration and Security

Registration Information
You agree to provide truthful, accurate, current, and complete information during registration and at all times while using the Platform

Account Security
You are solely responsible for:

 ✓ Maintaining the confidentiality of your login credentials;
 ✓ All activities conducted through your account;
 ✓ Promptly notifying Lynphopro of unauthorized access or suspected security breaches.

You may not:

 ✓ Share your account;
 ✓ Permit another individual to perform deliveries under your account;
 ✓ Create multiple accounts without authorization;
 ✓ Use false identities or fraudulent information.

Device and Data Access
You authorize Lynphopro to collect technical, geolocation, operational, and usage information necessary for platform functionality, safety, fraud prevention, routing, and service optimization.

6.Delivery Services.

Acceptance of Delivery Opportunities
Delivery opportunities are offered through the Platform. You may accept or reject opportunities at your discretion.

Once accepted, you agree to:

 ✓ Pick up items promptly;
 ✓ Deliver items safely and professionally;
 ✓ Follow reasonable customer instructions;
 ✓ Comply with all applicable traffic and transportation laws.
Service Standards
 ✓ Act professionally and courteously;
 ✓ Maintain communication when necessary;
 ✓ Use insulated or protective equipment where appropriate;
 ✓ Protect goods from damage, theft, contamination, or tampering;
 ✓ Deliver orders within reasonable timeframes.
Prohibited Conduct
 ✓ Open, consume, alter, or tamper with customer items;
 ✓ Carry illegal drugs, weapons, or prohibited materials during deliveries;
 ✓ Transport prohibited items;
 ✓ Deliver while under the influence of alcohol or drugs;
 ✓ Engage in discrimination, harassment, or abusive conduct;
 ✓ Falsify delivery completion;
 ✓ Manipulate ratings or incentives;
 ✓ Use bots, automation, or unauthorized software;
 ✓ Misrepresent your identity;
 ✓ Commit fraud or theft.
Delivery Completion
A delivery is considered complete when:

 ✓ The order is delivered to the designated recipient or approved location; and
 ✓ Delivery confirmation is properly submitted through the Platform.

Lynphopro may require photographs, signatures, GPS confirmation, QR scanning, PIN verification, or other proof of delivery.

7.Vehicles and Equipment

Vehicle Standards
If operating a vehicle, you agree that the vehicle must:

 ✓ Be legally operable;
 ✓ Be properly registered;
 ✓ Meet applicable safety standards;
 ✓ Be maintained in good working condition;
 ✓ Carry required insurance coverage.
Vehicle Requirements
Vehicles used to transport approved hazardous materials must:

 ✓ Be roadworthy
 ✓ Be properly maintained
 ✓ Carry required emergency supplies
 ✓ Meet applicable inspection standards
 ✓ Have appropriate fire extinguishers
 ✓ Have spill response materials where required
Lynphopro may prohibit certain vehicle types from transporting hazardous materials.
Equipment
You are responsible for obtaining and maintaining all necessary equipment, including:

 ✓ Smartphones;
 ✓ Vehicle accessories;
 ✓ Safety equipment;
 ✓ Delivery bags or containers;
 ✓ Fuel and maintenance.
Vehicle Inspections
Lynphopro may require inspections, photos, or documentation verifying vehicle condition.

8.Insurance Requirements

Required Insurance
You are solely responsible for maintaining all legally required insurance coverage, including:

 ✓ Automobile liability insurance;
 ✓ Commercial or rideshare endorsements where applicable;
 ✓ Personal injury protection;
 ✓ Workers’ compensation if required by law.
Proof of Insurance
You must provide valid proof of insurance upon request. Failure to maintain required coverage may result in suspension or termination.
No Company Insurance Guarantee
Unless expressly stated otherwise in writing, Lynphopro does not provide insurance coverage for:

 ✓ Your vehicle;
 ✓ Your injuries;
 ✓ Your lost income;
 ✓ Damage to your personal property.

Any supplemental insurance provided by Lynphopro is subject to separate terms and policy limitations.

9.Compensation and Payments.

Earnings
Truckers may earn compensation based on factors including:

 ✓ Distance;
 ✓ Time;
 ✓ Delivery complexity;
 ✓ Demand;
 ✓ Promotional incentives;
 ✓ Tips;
 ✓ Priority or scheduled services.

Lynphopro reserves the right to modify compensation structures at any time.
Tips
Customers may provide voluntary tips. Unless prohibited by law, 100% of customer tips designated for Truckers will be paid to the applicable Trucker

3 Payment Processing
Payments may be processed through third-party payment providers. You authorize Lynphopro to:

 ✓ Initiate payments to your selected payment method;
 ✓ Deduct authorized fees, chargebacks, adjustments, or reimbursements;
 ✓ Correct payment errors.

Payment Disputes
You must report payment disputes within 30 days of the applicable transaction.

Taxes and Deductions
You are solely responsible for all tax obligations associated with your earnings.

10.Ratings and Performance Standards

Customer Ratings
Customers and merchants may rate Truckers. Lynphopro may use ratings and performance metrics to:

 ✓ Maintain platform quality;
 ✓ Determine access to incentives;
 ✓ Prioritize delivery opportunities;
 ✓ Evaluate continued platform access.
Performance Metrics
Metrics may include:

 ✓ Acceptance rates;
 ✓ Completion rates;
 ✓ On-time performance;
 ✓ Customer complaints;
 ✓ Safety incidents;
 ✓ Fraud indicators
Corrective Actions
Failure to meet standards may result in:

 ✓ Warnings;
 ✓ Temporary suspension;
 ✓ Reduced platform access;
 ✓ Permanent deactivation.

11.Safety and Compliance

Legal Compliance
You agree to comply with:

 ✓ All traffic laws;
 ✓ Transportation regulations;
 ✓ Health and safety laws;
 ✓ Data protection laws;
 ✓ Alcohol and restricted goods regulations where applicable.
Safety Obligations
You agree to:

 ✓ Operate safely at all times;
 ✓ Avoid distracted driving;
 ✓ Secure cargo appropriately;
 ✓ Report accidents or incidents promptly;
 ✓ Follow emergency procedures.
Zero-Tolerance Policy
Lynphopro maintains a zero-tolerance policy regarding:

 ✓ Violence;
 ✓ Harassment;
 ✓ Threats;
 ✓ Intoxication;
 ✓ Criminal conduct;
 ✓ Unsafe driving.
Violations may result in immediate deactivation.

12.Background Checks and Monitoring

You authorize Lynphopro and its third-party providers to conduct:
 ✓ Criminal background checks;
 ✓ Driving history reviews;
 ✓ Identity verification;
 ✓ Ongoing monitoring where permitted by law.

You acknowledge that adverse findings may result in denial, suspension, or deactivation. Background checks may be repeated periodically.

13.Customer and Merchant Interactions

Professional Conduct
You agree to interact respectfully with customers, merchants, and support staff.
Non-Discrimination
You may not discriminate on the basis of:

 ✓ Race;
 ✓ Color;
 ✓ National origin;
 ✓ Religion;
 ✓ Sex;
 ✓ Gender identity;
 ✓ Sexual orientation;
 ✓ Disability;
 ✓ Age;
 ✓ Veteran status;
 ✓ Any protected characteristic.
Solicitation Restrictions
You may not:

 ✓ Solicit customers outside the Platform;
 ✓ Collect customer personal data for unrelated purposes;
 ✓ Market unrelated services during deliveries

14.Prohibited Items

Professional Conduct
Unless expressly authorized by Lynphopro and permitted by law, you may not transport:

 ✓ Illegal drugs;
 ✓ Firearms or explosives;
 ✓ Hazardous materials;
 ✓ Stolen property;
 ✓ Counterfeit goods;
 ✓ Human remains;
 ✓ Live animals;
 ✓ Items prohibited by local law.

You must immediately report suspected prohibited items.

15.Privacy and Data Protection

Confidential Information
You may receive confidential information relating to customers, merchants, and Lynphopro. You agree not to:

 ✓ Disclose confidential information;
 ✓ Use customer information for unauthorized purposes;
 ✓ Store customer information longer than necessary.
Data Usage
You authorize Lynphopro to collect and process information necessary to:

 ✓ Operate the Platform;
 ✓ Improve services;
 ✓ Detect fraud;
 ✓ Ensure safety and compliance.
Communications
You consent to receiving:

 ✓ SMS messages;
 ✓ Push notifications;
 ✓ Emails;
 ✓ Calls;
 ✓ In-app communications.

Standard messaging and data rates may apply.

16.Intellectual Property

All Platform content, trademarks, software, designs, logos, and technology are owned by or licensed to Lynphopro. You may not:

 ✓ Copy or modify the Platform;
 ✓ Reverse engineer software;
 ✓ Use Lynphopro branding without authorization;
 ✓ Create derivative works.

Lynphopro grants you a limited, non-exclusive, revocable license to use the Platform solely for authorized delivery activities.

17.Fraud Prevention and Investigations

Lynphopro may investigate suspected:

 ✓ Fraud;
 ✓ Theft;
 ✓ Abuse;
 ✓ Policy violations;
 ✓ Illegal activity.

You agree to cooperate with investigations. Lynphopro may:
 ✓ Suspend accounts;
 ✓ Delay payments;
 ✓ Recover losses;

 ✓ Share information with law enforcement where legally required.

18.Deactivation and Termination

Voluntary Termination
You may stop using the Platform at any time.
Deactivation by Lynphopro
Lynphopro may suspend or deactivate your account for reasons including:

 ✓ Safety concerns;
 ✓ Fraud;
 ✓ Repeated cancellations;
 ✓ Low ratings;
 ✓ Policy violations;
 ✓ Legal compliance obligations;
 ✓ Failure to maintain eligibility requirements.
Effect of Termination
Upon termination:

 ✓ Your access to the Platform will cease;
 ✓ Outstanding obligations remain enforceable;
 ✓ Lynphopro may recover amounts owed

19.Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO DISCLAIMS ALL WARRANTIES, INCLUDING:

 ✓ MERCHANTABILITY;
 ✓ FITNESS FOR A PARTICULAR PURPOSE;
 ✓ NON-INFRINGEMENT;
 ✓ AVAILABILITY;
 ✓ RELIABILITY;
 ✓ SECURITY.

LYNPHOPRO DOES NOT GUARANTEE:
 ✓ Any minimum earnings;
 ✓ Continuous access to delivery opportunities;
 ✓ Uninterrupted platform functionality.

20.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO SHALL NOT BE LIABLE FOR:

 ✓ INDIRECT DAMAGES;
 ✓ INCIDENTAL DAMAGES;
 ✓ CONSEQUENTIAL DAMAGES;
 ✓ LOST PROFITS;
 ✓ PERSONAL INJURY;
 ✓ PROPERTY DAMAGE;
 ✓ LOSS OF DATA.

LYNPHOPRO’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:
 1. THE AMOUNT PAID TO YOU IN THE THREE MONTHS PRECEDING THE CLAIM; OR
 2. $100 USD.
Some jurisdictions may not allow certain limitations.

21.Indemnification

You agree to indemnify and hold harmless Lynphopro and its affiliates, officers, directors, employees, and agents from claims arising out of:

 ✓ Your conduct;
 ✓ Your breach of these Terms;
 ✓ Your violation of law;
 ✓ Your negligence or misconduct;
 ✓ Injuries or damages caused during deliveries.

22.Dispute Resolution and Arbitration

Informal Resolution
Before initiating legal action, parties agree to attempt good-faith informal resolution.
Binding Arbitration
Except where prohibited by law, disputes shall be resolved through binding arbitration rather than court proceedings. Arbitration shall:

 ✓ Be conducted individually;
 ✓ Exclude class actions;
 ✓ Be administered by a recognized arbitration provider.
Class Action Waiver
You waive the right to participate in:

 ✓ Class actions;
 ✓ Collective actions;
 ✓ Representative proceedings.
Exceptions
Either party may seek relief in small claims court where permitted.

23.Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Georgia, United States, without regard to conflict of law principles. Subject to applicable arbitration provisions, disputes shall be brought in courts located in Georgia.

24.Electronic Signatures and Records

You consent to the use of:

 ✓ Electronic signatures;
 ✓ Digital communications.

You acknowledge that electronic acceptance of these Terms constitutes a legally binding agreement

25.Changes to Terms

Lynphopro may modify these Terms at any time. Updated Terms will be posted through the Platform. Continued use of the Platform after updates constitutes acceptance of revised Terms.

26.Force Majeure

Lynphopro shall not be liable for failures or delays caused by events beyond reasonable control, including:

 ✓ Natural disasters;
 ✓ Severe weather;
 ✓ Terrorism;
 ✓ Civil unrest;
 ✓ Utility failures;
 ✓ Internet outages;
 ✓ Government actions;
 ✓ Labor shortages;
 ✓ Public health emergencies;
 ✓ Cyberattacks.

27.Severability

If any provision of these Terms is determined unenforceable, the remaining provisions shall remain in effect.

28.Entire Agreement

These Terms constitute the entire agreement between you and Lynphopro regarding the subject matter herein and supersede prior agreements and understandings.

29.Assignment

You may not assign or transfer your rights or obligations under these Terms without prior written consent. Lynphopro may assign these Terms without restriction

Lynphopro may provide notices through:

 ✓ Email;
 ✓ In-app notifications;
 ✓ SMS;
 ✓ Website postings.
