Helper Terms of Service

- Welcome to Lynphopro ('Company", “Lynphopro,” “we,” “our,” or “us”).
- These Helper Terms of Service ("Helper Terms") constitute a legally binding agreement between Lynphopro and any individual or entity that registers, accesses, or participates on the Lynphopro platform as a Helper
- By accessing, registering for, or using the Lynphopro platform, application, website, software, tools, services, or related technology, you acknowledge that you have read, understood, and agreed to be bound by these Helper Terms.
- For purposes of these Helper Terms:
- ✓ "Lynphopro" refers to Lynphopro, its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, employees, contractors, licensors, and agents.
- ✓ "Platform" means Lynphopro’s mobile applications, websites, APIs, software, systems, communication channels, and delivery marketplace technology.
- ✓ "Project Professional" means an independent contractor or business entity approved by Lynphopro to provide delivery services through the Platform.
- ✓ "Helper" means an individual authorized by a Trucker or Lynphopro to assist in completing deliveries, loading, unloading, handling, routing, navigation, or related logistics support services.
- ✓ "Customer" means any business, merchant, retailer, organization, or individual requesting delivery or logistics services through the Platform.
- ✓ "Services" means all delivery, transportation, pickup, drop-off, loading, unloading, handling, support, or logistics-related activities performed using the Platform.
- ✓ "Account" means a registered user profile used to access the Platform.
- ✓ "Applicable Law" means all local, state, federal, and international laws, regulations, ordinances, rules, and governmental requirements.
- To qualify as a Helper on the Platform, you must:
- 1. Be at least 18 years of age.
- 2. Possess legal authorization to work in the applicable jurisdiction.
- 3. Maintain a valid government-issued identification.
- 4. Maintain a valid driver’s license if operating a motor vehicle.
- 5. Maintain active vehicle registration and insurance where required.
- 6. Pass background checks and identity verification as permitted by law.
- 7. Maintain a smartphone capable of operating the Lynphopro application.
- 8. Maintain any required licenses, permits, or certifications.
- 9. Maintain accurate and current account information.
- 10. Agree to comply with all applicable laws and regulations.
- 11. Successfully complete any onboarding, screening, identity verification, or background checks required by Lynphopro
- Lynphopro reserves the right to approve, deny, suspend, restrict, or terminate Helper participation at its sole discretion
- Independent Contractor Status
- Helpers acknowledge and agree that:
- ✓ Helpers are independent contractors and not employees of Lynphopro.
- ✓ Nothing in these Helper Terms creates an employer-employee, partnership, franchise, joint venture, or agency relationship between Lynphopro and the Helper.
- ✓ Helpers are not entitled to employee benefits, workers’ compensation coverage from Lynphopro, unemployment insurance, retirement benefits, paid leave, or other employment-related protections unless required by Applicable Law.
- ✓ Helpers maintain sole discretion over whether to accept or reject opportunities made available through the Platform
- ✓ Helpers are responsible for their own taxes, insurance, expenses, and regulatory compliance
- ✓ Truckers may independently engage Helpers subject to these Terms and any additional agreements between the parties.
- Account Accuracy
- You agree to provide truthful, accurate, current, and complete information during registration and at all times while using the Platform
- Account Responsibility
- Helpers are solely responsible for:
- ✓ Maintaining the confidentiality of login credentials;
- ✓ Restricting unauthorized access to their Accounts;
- ✓ All activity conducted through their Accounts;
- ✓ Immediately notifying Lynphopro of unauthorized use or suspected security breaches.
- Identity Verification
- Lynphopro may require identity verification at any time, including government-issued identification, selfies, biometric verification, or additional documentation
- Multiple Accounts Prohibited
- Helpers may not create duplicate, fraudulent, misleading, or unauthorized Accounts.
- Helpers may assist Delivery Professionals with:
- ✓ Package pickup and delivery;
- ✓ Loading and unloading goods;
- ✓ Route navigation assistance;
- ✓ Customer communication support;
- ✓ Inventory handling;
- ✓ Vehicle organization;
- ✓ Scheduled and same-day deliveries;
- ✓ Time-sensitive logistics operations;
- ✓ Other lawful support services approved by Lynphopro.
- Helpers may not independently represent themselves as employees, agents, or official spokespersons of Lynphopro.
- Helpers agree to comply with all Applicable Laws, including but not limited to:
- ✓ Transportation and traffic laws;
- ✓ Occupational safety laws;
- ✓ Privacy and data protection regulations;
- ✓ Consumer protection laws;
- ✓ Labor and tax obligations;
- ✓ Hazardous material restrictions;
- ✓ Anti-discrimination laws;
- ✓ Local delivery and commercial transportation requirements.
- Helpers are solely responsible for understanding and complying with all legal obligations applicable to their activities.
- General Safety
- Helpers must prioritize safety at all times while performing Services.
- Prohibited Unsafe Conduct
- Helpers shall not:
- ✓ Operate under the influence of alcohol or drugs;
- ✓ Engage in reckless or dangerous behavior;
- ✓ Handle packages in unsafe ways;
- ✓ Use violence, threats, harassment, or intimidation;
- ✓ Carry illegal weapons while performing Services;
- ✓ Drive or assist with deliveries in violation of traffic laws.
- Reporting Obligations
- Helpers must immediately report:
- ✓ Accidents;
- ✓ Injuries;
- ✓ Lost or damaged goods;
- ✓ Theft;
- ✓ Customer disputes;
- ✓ Safety incidents;
- ✓ Criminal activity;
- ✓ Policy violations.
- Lynphopro may conduct or require:
- ✓ Criminal background checks;
- ✓ Identity verification;
- ✓ Driving record reviews;
- ✓ Employment eligibility verification;
- ✓ Ongoing monitoring;
- ✓ Periodic rescreening.
- By using the Platform, Helpers authorize Lynphopro and its third-party providers to obtain and review such information as permitted by law. Failure to pass or maintain required screening standards may result in suspension or termination
- If a Helper operates or assists with transportation vehicles, the Helper must ensure that all applicable vehicles:
- ✓ Are legally registered and insured;
- ✓ Are maintained in safe operating condition;
- ✓ Meet applicable inspection requirements;
- ✓ Comply with transportation laws;
- ✓ Are suitable for the assigned delivery tasks.
- Helpers are responsible for their own equipment, devices, tools, safety gear, and operational expenses unless otherwise agreed in writing.
- Helpers agree to provide professional and courteous service at all times. Helpers must:
- ✓ Treat Customers respectfully;
- ✓ Follow delivery instructions;
- ✓ Handle packages carefully;
- ✓ Maintain professionalism;
- ✓ Avoid discriminatory or abusive conduct;
- ✓ Preserve confidentiality;
- ✓ Communicate honestly and accurately.
- Unprofessional conduct may result in reduced access, suspension, or permanent removal from the Platform.
- Helpers may not:
- 1. Commit fraud or misrepresentation;
- 2. Steal, tamper with, or intentionally damage goods;
- 3. Falsify delivery records or tracking information;
- 4. Share Accounts with unauthorized individuals;
- 5. Circumvent Platform systems or fees;
- 6. Use bots, automation, or unauthorized software;
- 7. Engage in discrimination or harassment;
- 8. Violate intellectual property rights;
- 9. Solicit Customers outside the Platform without authorization;
- 10. Transport prohibited or illegal items;
- 11. Interfere with Platform operations;
- 12. Misuse Customer information;
- 13. Engage in conduct that harms Lynphopro’s reputation or operations.
- Professional Conduct
- You agree to interact respectfully with customers, merchants, and support staff.
- Compensation Structure
- Helpers may receive compensation directly from lynphopro, through Platform mechanisms.
- Lynphopro does not guarantee any minimum amount of work, earnings, or delivery opportunities
- Payment Adjustments
- You may not:
- Lynphopro reserves the right to:
- ✓ Correct payment errors;
- ✓ Withhold payments associated with fraud or policy violations;
- ✓ Reverse duplicate or mistaken payments;
- ✓ Deduct authorized fees, chargebacks, penalties, or reimbursements where permitted by law.
- Tax
- Helpers are solely responsible for:
- ✓ Reporting income;
- ✓ Paying taxes;
- ✓ Filing tax returns;
- ✓ Meeting all financial obligations arising from Platform use.
- Lynphopro may monitor Helper performance using metrics including:
- ✓ Customer ratings;
- ✓ Timeliness;
- ✓ Delivery completion rates;
- ✓ Safety records;
- ✓ Complaint history;
- ✓ Professional conduct;
- ✓ Platform compliance.
- Lynphopro may use automated systems, human review, or third-party services to evaluate performance. Low performance or repeated complaints may result in warnings, restrictions, suspension, or termination.
- Helpers acknowledge that they may access sensitive information including:
- ✓ Customer names;
- ✓ Addresses;
- ✓ Phone numbers;
- ✓ Delivery details;
- ✓ Business information.
- Helpers agree to:
- ✓ Use such information solely for authorized Services;
- ✓ Maintain confidentiality;
- ✓ Protect personal data;
- ✓ Comply with applicable privacy laws;
- ✓ Avoid unauthorized disclosure or misuse.
- Lynphopro may collect, store, process, and share information consistent with its Privacy Policy and Applicable Law.
- Helpers may receive confidential or proprietary information relating to Lynphopro, Customers, Trucker, or business operations. Helpers agree not to:
- ✓ Disclose confidential information;
- ✓ Use confidential information for unauthorized purposes;
- ✓ Copy or distribute proprietary materials;
- ✓ Reverse engineer Platform technology.
- These confidentiality obligations survive termination of these Helper Terms.
- All Platform technology, branding, software, logos, content, systems, and intellectual property remain the exclusive property of Lynphopro or its licensors.
- Helpers receive a limited, non-exclusive, revocable, non-transferable license to access and use the Platform solely for authorized purposes.
- Helpers may not:
- ✓ Copy Platform materials;
- ✓ Modify software;
- ✓ Create derivative works;
- ✓ Use Lynphopro branding without authorization;
- ✓ Remove proprietary notices.
- Helpers acknowledge that Lynphopro may not provide insurance coverage unless expressly stated in writing. Helpers are responsible for obtaining and maintaining any legally required:
- ✓ Automobile insurance;
- ✓ Commercial liability insurance;
- ✓ Workers’ compensation coverage;
- ✓ Health insurance;
- ✓ Cargo coverage;
- ✓ Other applicable insurance.
- Helpers should carefully review all available insurance policies and coverage limitations
- Helpers must promptly report any:
- ✓ Vehicle accidents;
- ✓ Cargo damage;
- ✓ Personal injuries;
- ✓ Property damage;
- ✓ Customer incidents;
- ✓ Third-party claims.
- Failure to report incidents may result in loss of Platform access or additional liability. Helpers remain solely responsible for their own actions and liabilities unless otherwise required by law.
- Suspension Rights
- Lynphopro may temporarily suspend Accounts for:
- ✓ Suspected fraud;
- ✓ Safety concerns;
- ✓ Policy violations;
- ✓ Complaints;
- ✓ Legal investigations;
- ✓ Payment disputes;
- ✓ Risk management purposes
- Termination Rights
- Lynphopro may terminate access immediately, with or without notice, for any lawful reason including:
- ✓ Breach of these Helper Terms;
- ✓ Criminal conduct;
- ✓ Repeated complaints;
- ✓ Fraudulent activity;
- ✓ Unsafe behavior;
- ✓ Regulatory violations.
- Helpers may discontinue use of the Platform at any time
- Survival
- Any provisions that by their nature should survive termination shall remain in effect, including confidentiality, indemnification, dispute resolution, and limitation of liability provisions
- Helpers agree to defend, indemnify, and hold harmless Lynphopro and its affiliates from and against any claims, damages, liabilities, losses, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising from or related to:
- ✓ Helper conduct;
- ✓ Violation of these Helper Terms;
- ✓ Violations of law;
- ✓ Injuries or property damage;
- ✓ Misuse of the Platform;
- ✓ Negligence or misconduct.
21.Disclaimer of Warranties
- THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:
- ✓ MERCHANTABILITY;
- ✓ FITNESS FOR A PARTICULAR PURPOSE;
- ✓ NON-INFRINGEMENT;
- ✓ AVAILABILITY;
- ✓ SECURITY;
- ✓ RELIABILITY;
- ✓ PERFORMANCE.
- LYNPHOPRO DOES NOT GUARANTEE:
- ✓ CONTINUOUS PLATFORM ACCESS;
- ✓ DELIVERY OPPORTUNITIES;
- ✓ SPECIFIC EARNINGS;
- ✓ ERROR-FREE OPERATION;
- ✓ CUSTOMER CONDUCT;
- ✓ THIRD-PARTY PERFORMANCE.
22.Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO SHALL NOT BE LIABLE FOR:
- ✓ INDIRECT DAMAGES;
- ✓ INCIDENTAL DAMAGES;
- ✓ SPECIAL DAMAGES;
- ✓ CONSEQUENTIAL DAMAGES;
- ✓ LOST PROFITS;
- ✓ LOST DATA;
- ✓ BUSINESS INTERRUPTION;
- ✓ PERSONAL INJURY;
- ✓ PROPERTY DAMAGE.
- LYNPHOPRO’S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE HELPER TERMS SHALL NOT EXCEED THE GREATER OF:
- 1. THE TOTAL FEES PAID TO THE HELPER THROUGH THE PLATFORM DURING THE THREE (3) MONTHS PRECEDING THE CLAIM; OR 2. ONE HUNDRED U.S. DOLLARS (USD $100).
- Some jurisdictions do not permit certain limitations, so portions of this section may not apply.
23.Arbitration and Dispute Resolution
- Informal Resolution
- Before initiating formal proceedings, parties agree to attempt good-faith informal resolution
- Binding Arbitration
- Except where prohibited by law, disputes arising from these Helper Terms shall be resolved through binding arbitration rather than court proceedings
- Class Action Waiver
- Helpers agree that disputes shall be conducted only on an individual basis and not as part of any class, collective, or representative action
- Exceptions
- Helpers agree that disputes shall be conducted only on an individual basis and not as part of any class, collective, or representative action
- Helpers consent to receiving communications electronically, including:
- ✓ Agreements;
- ✓ Notices;
- ✓ Policy updates;
- ✓ Tax documents;
- ✓ SMS messages;
- ✓ Push notifications;
- ✓ Emails.
- Electronic communications satisfy legal requirements for written communications. Message and data rates may apply.
- Lynphopro reserves the right to:
- ✓ Modify the Platform;
- ✓ Add or remove features;
- ✓ Restrict access;
- ✓ Conduct maintenance;
- ✓ Update systems;
- ✓ Discontinue portions of the Services.
- Lynphopro does not guarantee uninterrupted availability.
- The Platform may integrate with third-party services including:
- ✓ Mapping providers;
- ✓ Payment processors;
- ✓ Communication systems;
- ✓ Verification providers;
- ✓ Analytics services.
- Lynphopro is not responsible for third-party products, services, or failures. Use of third-party services may be governed by separate terms.
- Lynphopro shall not be liable for failures or delays caused by events beyond reasonable control, including:
- ✓ Natural disasters;
- ✓ Severe weather;
- ✓ Terrorism;
- ✓ Civil unrest;
- ✓ Utility failures;
- ✓ Internet outages;
- ✓ Government actions;
- ✓ Labor shortages;
- ✓ Public health emergencies;
- ✓ Cyberattacks.
- Platform availability may vary by region. Helpers are responsible for ensuring lawful participation within their jurisdiction. Lynphopro may restrict or prohibit access in certain locations.
- THelpers must not discriminate against Customers, Trucker, or other individuals on the basis of:
- ✓ Race;
- ✓ Color;
- ✓ National origin;
- ✓ Religion;
- ✓ Sex;
- ✓ Gender identity;
- ✓ Sexual orientation;
- ✓ Disability;
- ✓ Age;
- ✓ Veteran status;
- ✓ Any protected characteristic under Applicable Law.
- Violations may result in immediate termination.
- Helpers agree to reasonably cooperate with lawful accessibility and accommodation requirements where applicable
- Helpers agree to maintain accurate records relating to Services where required by law. Lynphopro may request documentation reasonably necessary to verify compliance with these Helper Terms
- Helpers may not assign or transfer their rights or obligations under these Helper Terms without prior written consent from Lynphopro. Lynphopro may assign these Helper Terms without restriction
- These Helper Terms shall be governed by and construed under the laws of the applicable jurisdiction designated by Lynphopro, without regard to conflict-of-law principles.
- If any provision of these Helper Terms is found unenforceable, the remaining provisions shall remain in full force and effect
- Failure by Lynphopro to enforce any provision shall not constitute a waiver of that provision or any other rights
- These Helper Terms, together with any incorporated policies, guidelines, or supplemental agreements, constitute the entire agreement between Lynphopro and the Helper regarding Platform participation.
- Tax Lynphopro reserves the right to update or modify these Helper Terms at any time. Updated Terms become effective upon posting unless otherwise stated. Continued use of the Platform after updates constitutes acceptance of revised Terms.
