Towman Terms of Service

- Welcome to Lynphopro ('Company", “Lynphopro,” “we,” “our,” or “us”).
- These Terms of Service (“Terms”) govern your access to and use of the Lynphopro website, mobile applications, software, APIs, and logistics technology platform (collectively, the “Platform”).
- By accessing, registering for, or using the Platform, you agree to be legally bound by these Terms. If you do not agree to these Terms, you may not use the Platform.
- For purposes of these Towman Terms:
- ✓ “Customer” means any person or business requesting car haulage, towing, roadside assistance, or vehicle delivery services through the Platform.
- ✓ "Lynphopro" refers to Lynphopro, its parent companies, subsidiaries, affiliates, successors, assigns, officers, directors, employees, contractors, licensors, and agents.
- ✓ "Platform" means Lynphopro’s mobile applications, websites, APIs, software, systems, communication channels, and delivery marketplace technology.
- ✓ “Towman” means an independent contractor, car hauler, towing operator, roadside assistance provider, courier, or delivery partner using the Platform to provide services.
- ✓ “Content” means text, graphics, photos, videos, software, information, data, reviews, and materials uploaded to or generated through the Platform.
- ✓ "Customer" means any business, merchant, retailer, organization, or individual requesting delivery or logistics services through the Platform.
- ✓ “Services” means towing, roadside assistance, transportation, scheduled delivery, same-day delivery, instant delivery, freight movement, vehicle recovery, or related logistics services facilitated through the Platform.
- ✓ “User” means any individual or entity accessing or using the Platform
- ✓ “Order” means a request submitted through the Platform for towing, roadside assistance, or logistics services.
- To use the Platform, you must:
- 1. Be at least 18 years of age.
- 2. Have the legal capacity to enter into a binding agreement;
- 3. Provide accurate, complete, and current registration information;
- 4. 4.Comply with all applicable laws and regulations.
- If you are using the Platform on behalf of a company or organization, you represent and warrant that you have authority to bind that entity to these Terms.
- Lynphopro provides a technology platform that connects Customers with independent Towmen and logistics providers.
- Lynphopro is not a transportation carrier, towing company, delivery carrier, freight broker, emergency service provider, or employer of Towmen unless otherwise explicitly stated in writing.
- Towmen are independent contractors and are solely responsible for:
- ✓ Operating their businesses lawfully;
- ✓ Maintaining required licenses, permits, registrations, and certifications;
- ✓ Maintaining vehicles and equipment;
- ✓ Carrying required insurance coverage;
- ✓ Providing Services in compliance with all laws.
- Lynphopro does not guarantee:
- ✓ Availability of Towmen;
- ✓ Acceptance of Orders;
- ✓ Delivery timelines;
- ✓ Uninterrupted access to the Platform;
- ✓ Quality, legality, safety, or suitability of Services.
- Account Accuracy
- You agree to provide truthful, accurate, current, and complete information during registration and at all times while using the Platform
- Account Responsibility
- Towmans are solely responsible for:
- ✓ Maintaining the confidentiality of login credentials;
- ✓ Restricting unauthorized access to their Accounts;
- ✓ All activity conducted through their Accounts;
- ✓ Immediately notifying Lynphopro of unauthorized use or suspected security breaches.
- Identity Verification
- Lynphopro may require identity verification at any time, including government-issued identification, selfies, biometric verification, or additional documentation
- Multiple Accounts Prohibited
- Towmans may not create duplicate, fraudulent, misleading, or unauthorized Accounts.
- Towmen using the Platform must:
- 1. Possess valid government-issued identification;
- 2. Maintain all legally required licenses and permits;
- 3. Maintain commercially reasonable insurance coverage;
- 4. Operate vehicles that are safe and legally compliant;
- 5. Pass background or driving record checks if required;;
- 6. Provide truthful and accurate information
- Towmen represent and warrant that:
- ✓ They are independent contractors;
- ✓ They are not employees, agents, joint venturers, or franchisees of Lynphopro;
- ✓ They control how, when, and where they provide Services.
- Towmen are solely responsible for:
- ✓ Taxes;
- ✓ Fuel;
- ✓ Vehicle maintenance;
- ✓ Insurance
- ✓ Wages and compensation;
- ✓ Regulatory compliance.
- Customers agree to:
- ✓ Provide accurate pickup and delivery information;
- ✓ Ensure cargo or vehicles are lawful to transport;
- ✓ Disclose hazardous materials when applicable;
- ✓ Be available during scheduled service windows;
- ✓ Treat Towmen respectfully.
- Customers may not:
- ✓ Use the Platform for unlawful purposes;
- ✓ Transport prohibited or illegal items;
- ✓ Harass or threaten Towmen or other users;
- ✓ Circumvent Platform payment systems.
- Orders submitted through the Platform are requests only and may be accepted or declined by Towmen. An Order is considered complete when:
- ✓ Delivery is confirmed;
- ✓ The requested service is completed;
- ✓ The Customer acknowledges completion; or
- ✓ Platform records reasonably indicate completion.
- Estimated times displayed on the Platform are estimates only and are not guarantees.
- Pricing
- Customers agree to pay all applicable fees associated with Orders, including:
- ✓ Service charges;
- ✓ Distance charges;
- ✓ Waiting fees;
- ✓ Toll charges;
- ✓ Fuel surcharges;
- ✓ Taxes;
- ✓ Platform fees.
- Pricing may vary based on demand, availability, urgency, traffic, distance, or other market conditions.
- By using the Platform, Towmans authorize Lynphopro and its third-party providers to obtain and review such information as permitted by law. Failure to pass or maintain required screening standards may result in suspension or termination
- Payment Authorization
- By submitting payment information, you authorize Lynphopro and its payment processors to charge all applicable fees.
- Refunds
- Refunds are issued solely at Lynphopro’s discretion unless otherwise required by law. Refund eligibility may depend on:
- ✓ Service failures;
- ✓ Duplicate charges;
- ✓ Verified complaints;
- ✓ Cancellations.
- Cancellations
- Cancellation fees may apply if:
- ✓ A Towman has already been dispatched;
- ✓ Cancellation occurs after a specified timeframe;
- ✓ Services are substantially underway.
- Users may not use the Platform to transport or facilitate transport of:
- ✓ Illegal drugs or controlled substances;
- ✓ Firearms or explosives where prohibited;
- ✓ Hazardous materials without required authorization;
- ✓ Stolen goods;
- ✓ Counterfeit items;
- ✓ Human remains unless authorized by law;
- ✓ Any item prohibited by applicable law.
- Users also may not:
- ✓ Commit fraud;
- ✓ Manipulate ratings or reviews;
- ✓ Use automated systems without authorization;
- ✓ Interfere with Platform operations;
- ✓ Reverse engineer the Platform
10.Insurance
- Towmen are solely responsible for maintaining legally required insurance coverage.
- Lynphopro may require proof of insurance at any time.
- Lynphopro does not guarantee that Towmen possess adequate insurance. Customers acknowledge that claims for cargo loss, vehicle damage, personal injury, or property damage may be subject to the Towman’s insurance policies and limitations.
11.Damage Claims
- Any claims relating to damaged cargo, vehicles, or property must be reported within seventy-two (72) hours of service completion. Damage claims must include:
- ✓ Photographic evidence;
- ✓ Description of alleged damage;
- ✓ Supporting documentation;
- ✓ Any police or incident reports.
- Lynphopro reserves the right to investigate claims and determine whether assistance or reimbursement will be provided.
- Lynphopro is not liable for:
- ✓ Pre-existing damage;
- ✓ Mechanical failures;
- ✓ Improper packaging;
- ✓ Force majeure events;
- ✓ Indirect or consequential damages.
- Users retain ownership of Content they submit to the Platform.
- ✓ Use;
- ✓ Reproduce;
- ✓ Display;
- ✓ Modify;
- ✓ Distribute;
- ✓ Store;
- ✓ Process such Content for purposes related to operating and improving the Platform.
- Users represent and warrant that they have all necessary rights to submitted Content.
- Lynphopro may monitor Towman performance using metrics including:
- ✓ Customer ratings;
- ✓ Timeliness;
- ✓ Delivery completion rates;
- ✓ Safety records;
- ✓ Complaint history;
- ✓ Professional conduct;
- ✓ Platform compliance.
- Lynphopro may use automated systems, human review, or third-party services to evaluate performance. Low performance or repeated complaints may result in warnings, restrictions, suspension, or termination.
- All Platform technology, branding, software, logos, content, systems, and intellectual property remain the exclusive property of Lynphopro or its licensors.
- Towmans receive a limited, non-exclusive, revocable, non-transferable license to access and use the Platform solely for authorized purposes.
- Towmans may not:
- ✓ Copy Platform materials;
- ✓ Modify software;
- ✓ Create derivative works;
- ✓ Use Lynphopro branding without authorization;
- ✓ Remove proprietary notices.
- Your use of the Platform is also governed by the Lynphopro Privacy Policy.
- ✓ Collection of personal information;
- ✓ Use of geolocation data;
- ✓ Electronic communications;
- ✓ Recording of customer support interactions where permitted by law.
- By using the Platform, you consent to receive electronic communications from Lynphopro, including:
- ✓ Emails;
- ✓ SMS messages;
- ✓ Push notifications;
- ✓ Account alerts;
- ✓ Marketing communications.
- ✓ Payment processors;
- ✓ Mapping services;
- ✓ Insurance providers;
- ✓ Identity verification services.
- Lynphopro is not responsible for third-party products or services. Use of third-party services may be governed by separate terms.
- The Platform may integrate with third-party providers, including:
- ✓ Disclose confidential information;
- ✓ Use confidential information for unauthorized purposes;
- ✓ Copy or distribute proprietary materials;
- ✓ Reverse engineer Platform technology.
- These confidentiality obligations survive termination of these Towman Terms.
- THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:
- ✓ MERCHANTABILITY;
- ✓ FITNESS FOR A PARTICULAR PURPOSE;
- ✓ NON-INFRINGEMENT;
- ✓ RELIABILITY;
- ✓ AVAILABILITY;
- ✓ ACCURACY.
- LYNPHOPRO DOES NOT WARRANT THAT:
- ✓ THE PLATFORM WILL BE ERROR-FREE;
- ✓ SERVICES WILL MEET EXPECTATIONS;
- ✓ DATA WILL BE SECURE;
- ✓ INTERRUPTIONS WILL NOT OCCUR
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO SHALL NOT BE LIABLE FOR:
- ✓ INDIRECT DAMAGES;
- ✓ INCIDENTAL DAMAGES;
- ✓ SPECIAL DAMAGES;
- ✓ CONSEQUENTIAL DAMAGES;
- ✓ PUNITIVE DAMAGES;
- ✓ LOST PROFITS;
- ✓ LOSS OF DATA;
- ✓ BUSINESS INTERRUPTION.
- LYNPHOPRO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF:
- 1. THE AMOUNT PAID BY THE USER TO LYNPHOPRO DURING THE THREE (3) MONTHS PRECEDING THE CLAIM; OR 2. ONE HUNDRED U.S. DOLLARS (USD $100).
- Users agree to defend, indemnify, and hold harmless Lynphopro and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of:
- ✓ Use of the Platform;
- ✓ Violation of these Terms;
- ✓ Violation of law;
- ✓ Negligence or misconduct;
- ✓ Infringement of third-party rights.
- ✓ Injuries or property damage;
- Users must comply with all applicable:
- ✓ Transportation laws;
- ✓ Road safety laws;
- ✓ Towing regulations;
- ✓ Labor laws;
- ✓ Environmental regulations;
- ✓ Data privacy laws.
- Towmen must not operate under the influence of drugs or alcohol.
- Lynphopro may suspend access for safety concerns.
- Lynphopro may suspend or terminate access to the Platform at any time, with or without notice, for:
- ✓ Violations of these Terms;
- ✓ Fraudulent activity;
- ✓ Safety risks;
- ✓ Legal compliance reasons.
- Users may terminate their accounts by discontinuing use and requesting account closure. Termination does not relieve Users of obligations accrued before termination.
- Informal Resolution
- Before initiating formal proceedings, parties agree to attempt good-faith informal resolution
- Binding Arbitration
- Except where prohibited by law, disputes arising from these Towman Terms shall be resolved through binding arbitration rather than court proceedings
- Class Action Waiver
- Towmans agree that disputes shall be conducted only on an individual basis and not as part of any class, collective, or representative action
- Exceptions
- Towmans agree that disputes shall be conducted only on an individual basis and not as part of any class, collective, or representative action
- These Towman Terms shall be governed by and construed under the laws of the applicable jurisdiction designated by Lynphopro, without regard to conflict-of-law principles.
- Lynphopro shall not be liable for failures or delays caused by events beyond reasonable control, including:
- ✓ Natural disasters;
- ✓ Severe weather;
- ✓ Terrorism;
- ✓ Civil unrest;
- ✓ Utility failures;
- ✓ Internet outages;
- ✓ Government actions;
- ✓ Labor shortages;
- ✓ Public health emergencies;
- ✓ Cyberattacks.
- Lynphopro reserves the right to:
- ✓ Modify the Platform;
- ✓ Add or remove features;
- ✓ Restrict access;
- ✓ Conduct maintenance;
- ✓ Update systems;
- ✓ Discontinue portions of the Services.
- Lynphopro does not guarantee uninterrupted availability.
- If any provision of these Towman Terms is found unenforceable, the remaining provisions shall remain in full force and effect
- Platform availability may vary by region. Towmans are responsible for ensuring lawful participation within their jurisdiction. Lynphopro may restrict or prohibit access in certain locations.
- Towmans must not discriminate against Customers, Trucker, or other individuals on the basis of:
- ✓ Race;
- ✓ Color;
- ✓ National origin;
- ✓ Religion;
- ✓ Sex;
- ✓ Gender identity;
- ✓ Sexual orientation;
- ✓ Disability;
- ✓ Age;
- ✓ Veteran status;
- ✓ Any protected characteristic under Applicable Law.
- Violations may result in immediate termination.
- Towmans agree to reasonably cooperate with lawful accessibility and accommodation requirements where applicable
- Towmans may not assign or transfer their rights or obligations under these Towman Terms without prior written consent from Lynphopro. Lynphopro may assign these Towman Terms without restriction
- Failure by Lynphopro to enforce any provision shall not constitute a waiver of that provision or any other rights
- These Towman Terms, together with any incorporated policies, guidelines, or supplemental agreements, constitute the entire agreement between Lynphopro and the Towman regarding Platform participation.
