1.Introduction.
- Welcome to Lynphopro (“Lynphopro,” “we,” “our,” or “us”).
- These Customer Terms of Service (“Terms”) govern your access to and use of Lynphopro’s website, mobile applications, APIs, software, technology systems, and peer-to-peer logistics platform (collectively, the “Platform”).
- Lynphopro provides a technology platform that connects customers seeking instant, same-day, scheduled, and on-demand delivery services with independent delivery providers, couriers, drivers, and logistics partners (“Project Professionals”).
- By creating an account, accessing the Platform, placing an order, or otherwise using our services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.
- If you do not agree to these Terms, you may not access or use the Platform.
- To use the Platform, you must:
- ✓ Be at least eighteen (18) years old or the age of legal majority in your jurisdiction;
- ✓ Have the legal authority to enter into a binding agreement;
- ✓ Provide accurate, complete, and current information;
- ✓ Maintain a valid payment method;

- Lynphopro is a technology and logistics facilitation platform. We do not own or operate transportation fleets unless explicitly stated otherwise.
- The Platform enables users to:
- ✓ Request instant or scheduled deliveries;
- ✓ Arrange local, regional, or same-day logistics;
- ✓ Track shipments in real time;
- ✓ Coordinate package pickups and drop-offs;
- ✓ Communicate with Project Professionals;
- ✓ Access delivery-related tools and services.
- Lynphopro acts as an intermediary between customers and independent Project Professionals.
- Unless expressly stated in writing:
- ✓ Project Professionals are independent contractors and are not employees, agents, or representatives of Lynphopro;
- ✓ Lynphopro does not guarantee the availability of any Project Professional;
- ✓ Lynphopro does not guarantee uninterrupted service;
- ✓ Lynphopro does not guarantee delivery times.
- Estimated delivery windows are estimates only and may vary due to weather, traffic, operational delays, emergencies, system outages, or other factors.
- To access certain services, users may be required to create an account.
- You agree to:
- ✓ Provide accurate registration information;
- ✓ Maintain updated account information;
- ✓ Keep your login credentials confidential;
- ✓ Notify Lynphopro immediately of unauthorized access or suspected security breaches;
- ✓ Accept responsibility for all activities occurring under your account.
- Lynphopro reserves the right to:
- ✓ Refuse registration requests;
- ✓ Suspend or terminate accounts;
- ✓ Require identity verification;
- ✓ Investigate suspicious activity.
- You may not:
- ✓ Share accounts;
- ✓ Sell or transfer accounts;
- ✓ Create fraudulent accounts;
- ✓ Use another user’s account without authorization.
- When placing a delivery request, you agree to provide:
- ✓ Accurate pickup and delivery addresses;
- ✓ Accurate package descriptions;
- ✓ Proper recipient information;
- ✓ Any required access instructions;
- ✓ Any special handling instructions.
- You are solely responsible for ensuring that all package information is accurate.
- Lynphopro and Project Professionals may refuse, cancel, delay, or return deliveries where:
- ✓ Information is incomplete or inaccurate;
- ✓ The package violates these Terms or applicable laws;
- ✓ Delivery conditions are unsafe;
- ✓ The recipient cannot be located;
- ✓ Payment authorization fails;
- ✓ Operational limitations exist.
- Additional fees may apply for:
- ✓ Incorrect addresses;
- ✓ Failed delivery attempts;
- ✓ Excessive waiting time;
- ✓ Package returns;
- ✓ Oversized or overweight items;
- ✓ Special handling requirements.
- You may not use the Platform to transport, store, distribute, or deliver prohibited items. Prohibited items include, but are not limited to:
- ✓ Illegal drugs or controlled substances;
- ✓ Weapons, firearms, or ammunition;
- ✓ Explosives or hazardous materials;
- ✓ Counterfeit goods;
- ✓ Stolen property;
- ✓ Human remains;
- ✓ Live animals unless expressly authorized;
- ✓ Perishable items requiring specialized handling;
- ✓ Cash, negotiable instruments, or securities;
- ✓ Alcohol or tobacco where prohibited;
- ✓ Dangerous chemicals;
- ✓ Biohazardous materials;
- ✓ Items violating intellectual property rights;
- ✓ Any item prohibited by law.
- Lynphopro reserves the right to inspect packages where legally permitted. If prohibited items are discovered, Lynphopro may:
- ✓ Cancel the order;
- ✓ Report the matter to law enforcement;
- ✓ Dispose of the package where legally required;
- ✓ Suspend or terminate your account.
- You agree to indemnify Lynphopro against any claims, damages, penalties, or liabilities arising from prohibited items.
- You agree that you will:
- ✓ Use the Platform lawfully;
- ✓ Cooperate with Project Professionals;
- ✓ Properly package items for transport;
- ✓ Ensure shipments comply with all laws and regulations;
- ✓ Maintain accurate contact information;
- ✓ Pay all applicable fees.
- You agree not to:
- ✓ Misuse or disrupt the Platform;
- ✓ Harass Project Professionals or employees;
- ✓ Use automated systems or bots without authorization;
- ✓ Reverse engineer the Platform;
- ✓ Upload malicious software;
- ✓ Commit fraud or deceptive practices;
- ✓ Manipulate ratings or reviews.
- By placing an order, you authorize Lynphopro to charge your selected payment method for:
- ✓ Delivery fees;
- ✓ Service fees;
- ✓ Taxes;
- ✓ Tolls;
- ✓ Tips;
- ✓ Surge pricing;
- ✓ Additional service charges;
- ✓ Applicable penalties or adjustments.
- Pricing may vary based on:
- ✓ Distance;
- ✓ Delivery speed;
- ✓ Package dimensions and weight;
- ✓ Demand;
- ✓ Weather;
- ✓ Geographic region;
- ✓ Time of day;
- ✓ Special handling requirements.
- All fees are displayed in the Platform where applicable. Lynphopro reserves the right to:
- ✓ Modify pricing at any time;
- ✓ Correct pricing errors;
- ✓ Place temporary authorization holds;
- ✓ Use third-party payment processors.
- If payment cannot be processed:
- ✓ Your order may be canceled;
- ✓ Access to the Platform may be suspended;
- ✓ Collection efforts may be initiated.
- You are responsible for all applicable taxes unless otherwise stated.
- Customer Cancellations
- Customers may cancel delivery requests subject to applicable cancellation policies. Cancellation fees may apply when:
- ✓ A Project Professional has already been assigned;
- ✓ The Project Professional is en route;
- ✓ Pickup has already occurred;
- ✓ Operational costs have been incurred.
- Refund Eligibility
- Refunds are issued at Lynphopro’s discretion and may depend on:
- ✓ Service failure;
- ✓ Duplicate charges;
- ✓ Technical errors;
- ✓ Undelivered orders;
- ✓ Verified damage claims.

Refund requests must typically be submitted within fourteen (14) days of the delivery date unless otherwise required by law.
10.Pickup and Delivery Conditions.
- Customers are responsible for:
- ✓ Ensuring packages are securely packaged;
- ✓ Providing safe pickup and delivery environments;
- ✓ Ensuring lawful possession of shipped items;
- ✓ Being available during scheduled windows where required.
- Project Professionals may refuse service where:
- ✓ Conditions are unsafe;
- ✓ Access is restricted;
- ✓ The package appears prohibited;
- ✓ The package exceeds operational limitations.
- Proof of delivery may include:
- ✓ Photographs;
- ✓ Digital signatures;
- ✓ GPS verification;
- ✓ Delivery timestamps;
- ✓ Recipient confirmation.
- Lynphopro may rely on such proof to resolve disputes.
11.Delivery Delays and Service Interruptions
- Lynphopro does not guarantee uninterrupted or error-free service. Delays may occur due to:
- ✓ Traffic;
- ✓ Weather;
- ✓ Mechanical issues;
- ✓ Technology outages;
- ✓ Natural disasters;
- ✓ Government actions;
- ✓ Labor disruptions;
- ✓ Public emergencies;
- ✓ Events beyond reasonable control.
- Lynphopro shall not be liable for delays caused by force majeure events.
12.Lost, Damaged, or Stolen Packages
- Customers must promptly report claims involving:
- ✓ Lost packages;
- ✓ Damaged items;
- ✓ Missing contents;
- ✓ Delivery disputes.
- Claims may require:
- ✓ Proof of value;
- ✓ Photos;
- ✓ Packaging documentation;
- ✓ Police reports where appropriate.
- Unless otherwise required by law or covered under a separate agreement:
- ✓ Lynphopro’s liability is limited;
- ✓ Compensation may be capped at the declared shipment value or applicable service limits;
- ✓ Consequential and indirect damages are excluded.
- Lynphopro is not responsible for:
- ✓ Improper packaging;
- ✓ Inherent defects in items;
- ✓ Fragile items shipped without proper notice;
- ✓ Delays outside reasonable control;
- ✓ Recipient actions.
- Optional shipment protection or insurance may be available in certain regions.
13.User Content and Communications.
- The Platform may permit users to submit:
- ✓ Reviews;
- ✓ Ratings;
- ✓ Comments;
- ✓ Images;
- ✓ Messages;
- ✓ Feedback.
- You retain ownership of your content but grant Lynphopro a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to:

- ✓ Reproduce;
- ✓ Modify;
- ✓ Display;
- ✓ Distribute;
- ✓ Publish;
- ✓ Analyze.
- This license applies for purposes related to operating, improving, promoting, and developing the Platform. You represent that:
- ✓ You own or control the necessary rights;
- ✓ Your content does not violate any law or third-party rights.
- Lynphopro reserves the right to remove content at its discretion.
14.Communications Consent
- By using the Platform, you consent to receiving:
- ✓ Emails;
- ✓ SMS messages;
- ✓ Push notifications;
- ✓ Automated calls;
- ✓ Transactional communications. These communications may include:
- ✓ Delivery updates;
- ✓ Security alerts;
- ✓ Marketing messages;
- ✓ Account notifications;
- ✓ Customer support communications.
- Standard message and data rates may apply.
- You may opt out of certain marketing communications, though essential operational communications may still be sent.
15.Privacy
- Your use of the Platform is subject to the Lynphopro Privacy Policy. By using the Platform, you acknowledge that:

- ✓ Location data may be used to facilitate deliveries;
- ✓ Data may be shared with Project Professionals and service providers;
- ✓ Information may be disclosed where legally required.
16.Intellectual Property
- All Platform content, including:

- ✓ Logos;
- ✓ Trademarks;
- ✓ Graphics;
- ✓ Interfaces;
- ✓ Text;
- ✓ Features;
- ✓ Technology;
- ✓ Designs;
- ✓ Databases;
- ✓ Source code;
- ✓ Documentation,
- are owned by or licensed to Lynphopro and protected under intellectual property laws. You receive a limited, revocable, non-transferable license to use the Platform solely for personal or authorized business purposes.
- You may not:
- ✓ Copy or reproduce Platform materials;
- ✓ Modify or create derivative works;
- ✓ Reverse engineer the Platform;
- ✓ Use Lynphopro branding without authorization;
- ✓ Exploit the Platform commercially without written consent.
17.Third-Party Services
- The Platform may integrate with third-party services, including:
- ✓ Payment processors;
- ✓ Mapping providers;
- ✓ Identity verification services;
- ✓ Messaging systems;
- ✓ Analytics providers.
- Lynphopro is not responsible for third-party services, products, or websites. Your use of third-party services may be governed by separate agreements.
18.Suspension and Termination
- Lynphopro reserves the right to suspend, restrict, or terminate access to the Platform at any time, with or without notice, where:

- Customers may stop using the Platform at any time. Termination does not relieve obligations incurred before termination.
19.Disclaimers
- THE PLATFORM AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- ✓ MERCHANTABILITY;
- ✓ FITNESS FOR A PARTICULAR PURPOSE;
- ✓ NON-INFRINGEMENT;
- ✓ RELIABILITY;
- ✓ AVAILABILITY;
- ✓ ACCURACY;
- ✓ SECURITY.
- LYNPHOPRO DOES NOT WARRANT THAT:
- ✓ THE PLATFORM WILL BE UNINTERRUPTED;
- ✓ SERVICES WILL ALWAYS BE AVAILABLE;
- ✓ DELIVERIES WILL OCCUR WITHOUT DELAYS;
- ✓ THE PLATFORM WILL BE ERROR-FREE;
- ✓ SECURITY BREACHES WILL NEVER OCCUR.
20.Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYNPHOPRO AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR:
- ✓ INDIRECT DAMAGES;
- ✓ INCIDENTAL DAMAGES;
- ✓ SPECIAL DAMAGES;
- ✓ CONSEQUENTIAL DAMAGES;
- ✓ PUNITIVE DAMAGES;
- ✓ LOST PROFITS;
- ✓ LOST DATA;
- ✓ BUSINESS INTERRUPTION;
- ✓ EMOTIONAL DISTRESS.
- LYNPHOPRO’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF:
- ✓ THE AMOUNTS PAID BY YOU TO LYNPHOPRO DURING THE THREE (3) MONTHS PRECEDING THE CLAIM; OR
- ✓ ONE HUNDRED U.S. DOLLARS (USD $100).
- Some jurisdictions do not permit certain liability limitations, so portions of this section may not apply.
21.Indemnification
- You agree to defend, indemnify, and hold harmless Lynphopro and its affiliates, officers, directors, employees, agents, contractors, and partners from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:
- ✓ Your use of the Platform;
- ✓ Your violation of these Terms;
- ✓ Your shipments or package contents;
- ✓ Your violation of laws or third-party rights;
- ✓ Fraudulent or negligent conduct
22.Arbitration and Dispute Resolution
- Informal Resolution
- Before filing a formal claim, parties agree to attempt to resolve disputes informally by contacting Lynphopro customer support.
- Binding Arbitration
- Except where prohibited by law, disputes arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration rather than court proceedings. Arbitration shall be conducted:
- ✓ By a mutually agreed arbitration provider;
- ✓ In English;
- ✓ On an individual basis only.
- Class Action Waiver
- You agree that disputes may only be brought in an individual capacity and not as:
- ✓ A plaintiff or class member in a class action;
- ✓ A representative proceeding;

- Exceptions
- Either party may seek:
- ✓ Small claims relief where eligible;

- These Terms shall be governed by and interpreted under the laws of the State of Georgia, United States, without regard to conflict of law principles. Subject to applicable arbitration provisions, disputes shall be brought in courts located in Georgia.
- You agree to comply with all applicable:

- ✓ International laws;
- ✓ Import/export regulations;
- ✓ Transportation regulations;
- ✓ Consumer protection laws.
- You may not use the Platform in jurisdictions where use would violate applicable laws.

- ✓ Digital communications.
- You acknowledge that electronic agreements are legally binding.
- Personal Information
- Lynphopro reserves the right to modify these Terms at any time. Updated Terms may be:

- Continued use of the Platform after updates become effective constitutes acceptance of revised Terms.
- If any provision of these Terms is found unenforceable or invalid, the remaining provisions shall remain in full force and effect.
- Failure by Lynphopro to enforce any provision of these Terms shall not constitute a waiver of that provision or any other rights
- These Terms, together with any referenced policies, constitute the entire agreement between you and Lynphopro regarding use of the Platform and supersede prior agreements or understandings

- Corporate/Bsuiness customers may be subject to separate:

- ✓ Logistics contracts;
- ✓ Insurance requirements.
- Where conflicts exist between these Terms and separate written agreements, the separate written agreement shall control.
- You acknowledge and agree that:
- ✓ Lynphopro operates a peer-to-peer logistics marketplace;
- ✓ Project Professionals may provide services using personal or commercial vehicles;
- ✓ Project Professionals determine whether to accept delivery opportunities;
- ✓ Project Professionals may provide services to competitors or other businesses;
- ✓ Project Professionals are responsible for complying with applicable transportation laws and licensing requirements.
- Lynphopro may use algorithms, automation, and platform systems to:
- ✓ Match deliveries;
- ✓ Prioritize orders;
- ✓ Optimize routing;
- ✓ Detect fraud;
- ✓ Monitor safety;
- ✓ Improve operational efficiency.
- Lynphopro reserves the right to:
- ✓ Verify identities;
- ✓ Request government-issued identification;
- ✓ Conduct fraud screening;
- ✓ Monitor transactions;
- ✓ Delay or cancel suspicious orders.
- Users may be required to complete additional verification procedures before certain services can be accessed. Attempted fraud, abuse, or unauthorized activity may result in:
- ✓ Account suspension;
- ✓ Termination;
- ✓ Financial recovery actions;
- ✓ Referral to law enforcement.
- ✓ Enterprise agreements;
- Services may not be available in all locations. Lynphopro reserves the right to:

- ✓ Impose geographic restrictions.
- Availability may change without notice.
- Lynphopro shall not be liable for failures or delays caused by events beyond reasonable control, including:

- ✓ Terrorism;
- ✓ Civil unrest;
- ✓ Utility failures;
- ✓ Internet outages;
- ✓ Government actions;
- ✓ Labor shortages;
- ✓ Public health emergencies;

- You may not assign or transfer your rights or obligations under these Terms without Lynphopro’s written consent. Lynphopro may assign these Terms without restriction.
